Please read these Terms and Conditions ("Terms") carefully before using XQL Tools (https://xql.tools), operated by X38 AI Labs Private Limited. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, please do not use the platform.
1. About the Platform
XQL Tools is a browser-based online utilities platform offering tools for image processing, PDF management, audio editing, and developer utilities. The platform is operated by X38 AI Labs Private Limited, a company incorporated in India.
2. Eligibility
- You must be at least 18 years of age to create an account or subscribe to a paid plan.
- By using the platform, you represent that you have the legal capacity to enter into a binding contract.
- If you are using the platform on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
3. Account Registration
3.1 Account Creation
You may use the Free tier without registration. To access Member or Premium features, you must create an account with a valid email address and a secure password.
3.2 Account Security
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree to notify us immediately of any unauthorised access to your account.
- We are not liable for any loss arising from unauthorised access due to your failure to protect your credentials.
3.3 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to keep it updated.
4. Permitted Use
You agree to use the platform only for lawful purposes and in a manner consistent with these Terms. You must not:
- Use the platform to process, store, or transmit any unlawful, harmful, or offensive content.
- Attempt to reverse engineer, decompile, or disassemble any part of the platform.
- Use automated bots, scrapers, or scripts to access the platform in a manner that disrupts its normal operation.
- Circumvent any access controls, usage limits, or security measures.
- Resell, sublicence, or commercially exploit the tools without our prior written consent.
- Upload files containing malware, viruses, or malicious code.
5. Service Tiers and Features
5.1 Free Tier
All core tools are available without registration. Processing is performed locally in your browser. No data is transmitted to our servers.
5.2 Member Tier (Free)
Upon creating a free account, you receive:
- 1 GB of cloud storage.
- 5 AI credits per day.
- Access to login-gated tools.
5.3 Premium Tier (Paid)
Paid subscribers receive:
- 10 GB of cloud storage.
- 100 AI credits per day.
- Access to all premium tools.
Pricing and billing details are available at the Pricing page. All prices are inclusive of applicable taxes unless stated otherwise.
6. AI Credits
6.1 Daily Complimentary Credits
Member and Premium accounts receive a fixed number of complimentary AI credits each day (5/day for Member, 100/day for Premium). These daily credits reset at midnight UTC and do not carry over — unused daily credits expire at the end of each day.
6.2 Purchased Credits
Users may purchase additional AI credits separately at any time from the platform. Purchased credits are distinct from daily complimentary credits and do carry forward — they do not expire on a daily basis and remain available in your account until fully consumed, subject to Section 6.3 below.
6.3 Credit Conditions
- All AI credits (daily and purchased) are non-transferable and tied to your account.
- Purchased credits are non-refundable once consumed (see Refund Policy for unused purchased credits).
- We reserve the right to adjust daily credit allocations with reasonable notice to users.
- Upon account deletion, any remaining purchased credits will be forfeited with no refund.
7. Cloud Storage
Files stored in your cloud storage are your responsibility. We are not liable for accidental deletion or data loss. We recommend maintaining backups of important files. We reserve the right to delete files in inactive accounts (accounts not logged in for 6 months or more) after providing 30 days' notice.
8. Intellectual Property
8.1 Our IP
All content, design, code, branding, and tools on XQL Tools are the intellectual property of X38 AI Labs Private Limited. You may not copy, modify, distribute, or create derivative works without our prior written permission.
8.2 Your Content
You retain full ownership of all files and data you process or store using our platform. By uploading files to cloud storage, you grant us a limited, non-exclusive licence to store and serve those files solely for the purpose of providing the service to you.
9. Disclaimer of Warranties
XQL Tools is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:
- The platform will be uninterrupted, error-free, or free from security vulnerabilities.
- The results obtained from using the tools will be accurate or reliable.
- Any defects or errors will be corrected.
10. Limitation of Liability
To the maximum extent permitted by applicable Indian law, X38 AI Labs Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of your use of or inability to use the platform.
Our total cumulative liability to you for any claims arising out of these Terms shall not exceed the total amount paid by you to us in the 3 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless X38 AI Labs Private Limited, its directors, employees, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including legal fees) arising out of your violation of these Terms or your use of the platform.
12. Modifications to the Service
We reserve the right to modify, suspend, or discontinue any part of the platform at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
13. Termination
We may terminate or suspend your account at our sole discretion if we believe you have violated these Terms, without prior notice. Upon termination, your right to use the platform will immediately cease. Provisions that by their nature should survive termination shall survive.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India.

15. Changes to These Terms
We may update these Terms from time to time. Continued use of the platform after the updated Terms are posted constitutes your acceptance.
